EASY AGENT AI / TERMS & PRIVACY
Partnership terms
Version 26 September 2026
These terms form part of a client engagement only when both parties expressly include and accept this dated version in a written agreement. Browsing this website, submitting an enquiry or using the public AI studio does not purchase a partnership or sign a contract. This page is not a representation that a law firm has reviewed or approved an engagement.
1. Who you are engaging
Easy Agent AI is operated by Darren M Smith, Founder & Owner, based in Adelaide, South Australia. ABN: 82 697 448 668. Contact Devops@zohomail.com.au or +61 424 520 033.
The signed engagement must identify both parties’ full legal names, business addresses and authorised representatives. A brand name or AI agent is not a separate contracting party.
2. Agreement and electronic acceptance
Before an engagement starts, both parties must accept a written proposal identifying the selected tier, total fee, scope, deliverables, exclusions, commencement date, term, payment dates, responsibilities and these terms. Any electronic acceptance process must identify the authorised signatories, the exact document version and their intention to agree, and provide each party with a copy. This website currently prepares enquiry emails; it does not provide a contract-signing or payment service.
Changes to an accepted engagement require written agreement by both parties. A later website update does not automatically change an existing contract.
3. Pricing and payment
The seven partnership investment tiers are US$6.5 million, US$13.5 million, US$23.5 million, US$50 million, US$100 million, US$150 million and US$207 million. These are partnership totals, not monthly subscription charges. Scope and duration must be defined in the accepted proposal.
- 75% upfront: payable immediately upon engagement, before any work commences.
- 25% balance: payable no later than three months after the project commencement date.
- The signed proposal and invoices must state the actual amounts and calendar due dates, applicable taxes and any separately agreed third-party costs.
Payment instructions are provided through the agreed invoice process. No payment is taken on this website.
4. Late payments
Late-payment charges may apply only where their amount or calculation is expressly specified in the signed agreement and permitted by applicable law. This page sets no automatic fine, interest rate or penalty. An overdue account should first be raised with the client so the amount and due date can be checked and any genuine dispute addressed.
5. 100% refund — no questions asked
Easy Agent AI offers a full refund of all amounts paid to Easy Agent AI on request, with no explanation required. Request your refund by emailing Devops@zohomail.com.au. You may include an invoice reference so the payment can be located. No requirement to prove dissatisfaction or fault applies to this promise.
This voluntary promise is additional to any rights or remedies that apply by law. These terms do not take those rights away. Cancellation, handover and any ongoing licence arrangements should be documented without narrowing this refund promise.
6. Scope, approvals and client responsibilities
Work is limited to the accepted scope. Deliverables, milestones, acceptance criteria, access permissions and responsibilities must be agreed before delivery. Changes in scope, costs or timing require written agreement. The client must have authority to provide materials and access, identify a decision maker and review work at the agreed points.
Access to accounts, production systems, personal information or regulated data requires explicit authorisation and an agreed method of handling that information. Do not send passwords or secret keys through the public enquiry form or AI studio.
7. AI, professional advice and performance
AI output can be incomplete or inaccurate and needs appropriate human review. The public AI studio provides text, drafts, analysis and suggestions; it does not independently operate external accounts or carry out real-world actions. Legal, financial or health-related output is general information, not personalised professional advice.
We do not promise a particular revenue, return on investment, sporting result or error-free AI output. Project success measures are agreed with the client. This does not remove obligations to deliver the agreed services or any rights that cannot lawfully be excluded.
8. Intellectual property and third-party services
Each party retains its pre-existing materials. The signed proposal must state ownership or licence rights for new deliverables, source code, AI-generated material and client data, including any third-party or open-source licence conditions. No transfer of client intellectual property occurs merely because an enquiry is submitted.
Third-party services have their own terms, availability and usage charges. Any material supplier dependency or additional cost must be identified in the proposal or a written variation. A provider’s name or logo does not imply endorsement of Easy Agent AI.
9. Privacy, confidentiality and security
Our Privacy notice explains the current website’s handling of enquiries, AI inputs and technical information. The Privacy Act 1988 (Cth), Australian Privacy Principles and other privacy requirements apply where the law requires them; this page does not certify compliance or waive those requirements.
Client engagements involving confidential or personal data require agreed confidentiality obligations, permitted uses, access controls, supplier arrangements, retention, deletion and incident notification responsibilities before data is supplied. The public AI demonstration is not a confidential client workspace. No internet service can be represented as completely risk-free.
10. Legal rights and responsibility
Nothing in these terms excludes, restricts or modifies a right, guarantee or remedy that cannot lawfully be excluded, including applicable Australian Consumer Law protections. There is no blanket exclusion of responsibility for all loss, data incidents or service failures. Any proposed liability allocation must be expressly agreed and remain subject to applicable law and the refund promise above.
11. Questions, disputes and governing law
Raise billing, delivery, privacy or refund concerns using the contact details above. Both parties should identify the issue and seek a practical resolution in good faith. This does not prevent urgent relief, a complaint to a regulator or access to statutory remedies.
The signed engagement must specify the governing state or territory law and relevant courts. Mandatory Australian laws and any other applicable protections continue to apply. A law firm is not a contracting party, guarantor or representative unless its role is separately verified and expressly agreed.
